Financing tables in a consultation year: rehearsing tomorrow’s questions today

Marc Chan |Associate Director

Backdrop: During the 2023 climate-disclosure consultation — financing and investors already asking about emissions, transition spend and climate risk on a “rules will tighten” assumption

This note is written against the 2023 Hong Kong market and regulatory node: April 2023: HKEX consultation on climate-related disclosures, directionally aligned with ISSB IFRS S2. On the question framed by “Financing tables in a consultation year: rehearsing tomorrow’s questions today”, From financial-market fundraising, capital operations and fund/securities-market practice: how rule and policy signals enter pricing rooms, loan renewals and allocator conversations. A financing narrative must answer use of proceeds, tracking and consistency—whether it shares assumptions with the annual/ESG/climate report.

Smart issuers do not wait for conclusions before organising emissions and use-of-proceeds data. A consultation year is the window to align financing narrative with future mandates. Advisory work aligns capital path and data; execution, underwriting and regulated activities stay with the client’s licensed intermediaries. Slogans write quickly; a capital narrative that survives a check needs finance, sustainability and capital-markets people on the same sheet.

Three items to lock in practice

Marc Chan on how, during the 2023 climate consultation, capital markets pre-emptively brought Scope 1/2, transition capex and climate risk into financing and allocator conversations. When green, sustainable or climate labels appear in instrument names, markets read them with diligence-like questions. Label innovation cannot replace a use-of-proceeds map and a reporting process.

Across successive Hong Kong milestones—ESG Guide upgrades, the Government Green Bond Programme, CASG coordination and phased climate mandates—the financing table’s discipline tightened even when term sheets did not instantly rename every covenant. The practical habit is to version the numbers used in decks, questionnaires and offering materials against the same internal cut-off used for disclosure. That habit protects pricing discussions when counterparties compare oral answers to published figures. It also reduces the cost of moving from voluntary colour language to labelled instruments and, later, to mandatory emissions inputs. Capital structure and market-access strategy now include that consistency work as ordinary preparation, not as a side PR track.

In practice we ask management to lock three items before external messaging: whether data and reporting boundaries are written down; whether owners appear on the board or management calendar; and whether board papers, bank questionnaires and investor Q&A share one data cut-off and assumption version. Missing any one of these turns the 2023 signal into a one-off scramble rather than a repeatable management rhythm. For traditional industries and listed issuers alike, the cost of rebuilding narrative every year exceeds the cost of naming owners and sources once. That is true whether the year’s headline is CSR language, comply-or-explain upgrades, green-bond market infrastructure, CASG coordination, or phased climate mandates.

The firm’s service spectrum keeps Consulting, ESG and Governance, and Finance/Listing on one continuum so narrative, measurement and delivery do not diverge under pressure. Clients remain responsible for their board decisions and for engaging licensed intermediaries where required. Our role is to help convert milestone rules into calendars, owners and checkable numbers—and to keep external messaging honest about what is measured and what is still explained. That approach travels from the CSR-era starting point through each subsequent Hong Kong upgrade without requiring a new vocabulary every year.

  • Boundary: which entities and topics enter this year’s disclosure or financing narrative; how exclusions are explained.
  • Ownership: who approves assumptions, who answers to the board, who signs bank/investor replies.
  • Calendar: alignment with annual/interim reporting and loan or transaction timetables.
