Governance gaps and refinancing: how interim executives hold creditor communications
Context: After 2025–2026 climate-disclosure upgrades land — creditor/investor communication in refinancing and governance transition windows
The usual interim trap: data still being fixed inside while targets and assurances are already demanded outside. Write the speaking matrix and a no-commit list before the creditor meeting.

First mandatory climate year: what must board and management papers align on?
Context: From FY2025 Hong Kong listed issuers face mandatory Scope 1 and 2 GHG disclosure — board papers and investor messaging prep (written after the author joined the firm in October 2025)
As mandatory disclosure nears, the usual gap is not a missing ESG chapter—it is board papers, bank questionnaires and investor Q&A talking past each other. Settle boundary, ownership and timetable in one client plan.

2025: measurement and board accountability in the Scope 1/2 mandate year
Backdrop: Financial years from 2025 — all listed issuers mandatory Scope 1 and 2 GHG disclosure; other Main Board climate-related disclosures on comply-or-explain

2020 effective year: putting ESG on the board calendar
Backdrop: Financial years from July 2020 — 2019 ESG upgrades take effect; mandatory board statement, reporting principles, boundary, climate issues; shortened ESG report deadline
The dangerous assumption in the effective year is that “last year’s pack still works.” Mandatory statements, climate issues and a five-month publication window force a rewrite of calendars and data cut-offs.

2019 conclusions: the board must “see” ESG
Backdrop: December 2019 HKEX ESG Guide consultation conclusions — mandatory board statement, reporting principles and boundary; climate issues and Social KPI upgrade; effective for financial years from 1 July 2020
The structural change was the mandatory board statement. Without a committee calendar and named owners, the statement is only more template text.

Year one of the mandatory rhythm: what issuers actually lacked in 2016
Backdrop: Financial years from 2016 — ESG general disclosures on comply-or-explain; alignment with Companies Ordinance directors’ report direction
In the first mandatory-rhythm year, the common failure mode was advisor-drafted text, management signature, and no real board discussion. Disclosure became a publishing event, not a governance loop.

2015: from recommended disclosure toward comply-or-explain
Backdrop: December 2015 HKEX announces strengthening of the ESG Reporting Guide — general disclosures to rise to “comply or explain,” with Environmental KPIs to follow
The upgrade message was clear: general disclosures first, Environmental KPIs next. Traditional industries still holding only activity lists would struggle to write board-owned reasons in the “explain” column.

When the market still said CSR: the 2014 starting point for Hong Kong traditional industries and listed issuers
Backdrop: 2014 CSR era — HKEX ESG Reporting Guide already in the Listing Rules appendices; market language still centred on “corporate social responsibility”; firm founded the same year
In 2014 Hong Kong advisory rooms still said “CSR.” Exchange reporting guidance pushed voluntary narrative toward comparable disclosure—the first threshold from donations and events toward governance and data.
